The term “Affiliate” means with respect to ElementOne and shall include any other entity, individual, firm, or corporation, directly or indirectly, through one or more intermediaries, controlling, controlled by, or under common control of such entity (collectively referred to as “ElementOne Group” and also variously referred to as “ ElementOne”/“We”/“Our”/“Us its employees, associates and affiliates”).

Further, you authorise ElementOne to share the given information to other SEBI RegisteredIntermediaries /or any regulated intermediaries registered with SEBI / RBI / IRDA / PFRDA to facilitate single submission / update & for other relevant purposes. You also undertake to keep us informed in writing about any changes / modification to the information in future and also undertake to provide us any other additional information as may be required at our end orby domestic or overseas regulators/ tax authorities. You authorise ElementOne and /or its associates to provide relevant information to upstream payors to enable withholding to occur and pay out any sums from your account or close or suspend my account(s)/services without any obligation of advising of the same. The Central Board of Direct Taxes has notified Rules114F to 114H, as part of the Income-tax Rules, 1962, which Rules require Indian financial institutions such as the Financial institution / Banks to seek additional personal, tax and beneficial owner information and certain certifications and documentation. In relevant cases, information will have to be reported to tax authorities/ appointed agencies. Towards compliance, we may also be required to provide information to any institutions such as withholding agents for the purpose of ensuring appropriate withholding from the account or any proceeds in relation thereto. Should there be any change in any information provided by you, please ensure you advise us promptly, i.e., within 30 days. Please note that you may receive more than one request for information if you have multiple relationships withElementOne. CONFIDENTIALITY & DISCLOSURE
We, ElementOne undertake to keep the Information received by us secure and shall not discloseor allow access in any way to any third party and shall maintain confidentiality as per the lawsapplicable from time to time. We shall ensure that all information/ data collected, maintainedand analysed by us, are at all times kept secure and fully and effectively protected againstunauthorized access or discloser or transmission by accidental or intentional destruction, lossor damage. GOVERNING LAWS AND DISPUTE RESOLUTION

In the eventof breach of these Terms & Conditions, you agree that the ElementOne will be irreparablyharmed and will not have an adequate remedy in money or damages. The ElementOnetherefore, shall be entitled in such event to obtain an injunction against such a breach from anycourt of competent jurisdiction immediately upon request. The ElementOne s right to obtainsuch relief shall not limit its right to obtain other remedies.
These Terms of Use and all transactions entered into on or through the Website and therelationship between You and ElementOne shall be governed in accordance with the laws ofIndia without reference to conflict of laws principles.
ARBITRATION
You agree that all claims, differences and disputes arising under or in connection with or inrelation hereto the Website, the Terms of Use or any transactions entered into on or through theWebsite or the relationship between You and ElementOne shall be subject to the award of thesole arbitrator to be appointed by ElementOne who will be an independent and neutral thirdparty identified by ElementOne in accordance with its rules and subject to the provisions ofthe Arbitration and Conciliation Act, 1996 as amended from time to time. The seat venue ofsuch Arbitration shall New Delhi, India and language of Arbitration shall be English. Theaward shall be final and binding on the parties.
SEVERABILITY
If any provision of these Terms of Use is held to be illegal, invalid or unenforceable under anypresent or future applicable laws: (a) such provision will be replaced with another, which is notprohibited or unenforceable and has, as far as possible, the same legal and commercial effectas that which it replaces; and (b) the remaining provisions of the Terms of Use will remain infull force and effect and will not be affected by the illegal, invalid, or unenforceable provisionor by its severance here from.
TERMINATION
These Terms & Conditions shall continue to subsist as long as the Investor is validly registeredwith the us and is accessing the Platform via any medium. On the termination of the registrationfor use of the Platform, the Investor shall no longer have access to the Platform. We shall havethe right to disable all the login credentials associated with the Investor on the Platform.
REPORT ABUSE
In the event You come across any abuse or violation of these Terms of Use including anyPrivacy Policy or Additional Terms or if You become aware of any objectionable content onthe Website, please report to ElementOne customer support.
INDEMNIFICATION
You hereby indemnify and hold harmless ElementOne (and its directors, officers, employees,control persons, vendors, licensors and agents), the Provider and any third party provider fromand against any and all claims, losses, liabilities, damages, costs and expenses (includingreasonable attorney’s fees and costs) arising out of or related to your breach of your agreements,representations and warranties contained in this Agreement or your use of the Services orInformation

d) If the whole or any part of the performance is prevented, hindered or delayed by a Force Major event (as defined below), we shall not be liable for any failure to perform any of its obligations under these terms and conditions or those applicable specifically to its products/services, and in such case, its obligations shall be suspended for so long as theForce Majeure event continues. “Force Majeure Event” means any event, due to any cause beyond the reasonable control of ElementOne, including without limitations, unavailability of any communication systems, breach, or virus in the digital processes or payment or delivery mechanism, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, lockdown, computer hacking, unauthorised access to computer data and storage devices, computer crashes, malfunctioning in the computer terminal or the systems getting affected by any malicious, destructive or corrupting code or program, mechanical or technical errors/failures or power shut down, faults or failures in telecommunication etc.
ASSIGNMENT, SUBCONTRACTING AND DELEGATION
These Terms are for the benefit of ElementOne its successors and assigns. We may assign or transfer any of its rights under these Terms. ElementOne may delegate or subcontract the performance of any obligation under these Terms. You further agree that you cannot assign or otherwise transfer, subcontract the terms or any rights granted hereunder to any party withoutOur prior written consent.
